China further simplifies the establishment procedures for certain foreign invested companies
中国进一步简化部分外商投资企业的设立程序


On June 29, 2018, Ministry of Commerce issued Decision on the Amendment to the Interim Measures on the Filing of Foreign Invested Company’s Establishment and Alternation. This amendment further simplifies the establishment procedures for certain foreign invested companies.
中国商务部于2018年6月29日发布了《关于修改〈外商投资企业设立及变更备案管理暂行办法〉的决定》。本次修改进一步简化了部分外商投资企业的设立程序。

One of the highlights of this amendment is that for the establishment of the foreign invested companies which falls in the category for filing, the applicant shall files the company establishment information online at the same time when it goes through the establishment procedures at the company registration authority. The company registration authority will transfer the filing information to the authority in charge of the filing. Before it is amended, it requires that the applicant shall separately file the fling information online before the business license is issued or 30 days after the business license is issued. Therefore, for the establishment of these foreign invested companies, the applicant does not need to separately register and file the establishment information.
本次修改的一大亮点是对设立属于备案范围内的外商投资企业，申请人在向公司登记部门办理设立登记时应一并在线报送外商投资企业设立备案信息，公司登记部门将会把备案信息推送给备案机构。原来的规定是要求申请人在在营业执照签发前或在营业执照签发后30日内向通过网上备案系统向备案机构另行报送备案信息。因此，现在就该些外商投资企业的设立，申请人无需分开登记申报设立信息。

However, we notice that this amendment does not amend the filing procedures when certain alternations, such as change of shareholder or registered capital, occur to the foreign invested companies. When any of such alternations occurs, the applicant shall still separately goes through registration procedures at the company registration authority and filing procedures at the authority in charge of the filing.
需注意的是，本次修改并未修改关于符合备案范围的外商投资企业发生变更事项时（诸如股东变更和注册资本变更等）的备案手续。因此该些外商投资企业在发生变更事项时，仍然需要分别向公司登记部门和备案机构办理登记和备案手续。
