On October 1^st, 2016, the Interim Measures on Administration of Foreign Invested Enterprise’s Incorporation and Alternation Filing became effective. The said measures aim to simplify foreign invested enterprises’ incorporation and alternation filing system which does not fall in the negative list issued by the State.

外商投资企业设立及变更备案管理暂行办法于2016年10月1日开始生效。该办法旨在简化不涉及国家规定实施准入特别管理措施的外商投资企业的设立和变更备案程序。

The said measures does not specify that the alternation filing applicable to the said measures shall first be filed to the examination or approval authority online before the relevant documents are to be submitted to the company registration authority, or vice verse.

该办法并未明确规定适用该办法的变更备案手续需在向公司登记机关提交书面文件前先向审批部门进行网上备案。

However, from our recent communications with the company registration authority in Shanghai, the relevant official told us that the alternation filing must be filed online to the examination and approval authority first before the company registration accept the alternation-related documents.

但是，从我们最近与上海公司登记机关的沟通来看，相关政府官员告知我们在公司登记机关受理与变更备案相关的文件前必须先在网上完成在审批部门的备案手续。
